Merger of Portfolio Company Quest Products with OraHealth Corporation

Chicago, Illinois, Jan. 9, 2019 –Promus Equity Partners and its portfolio company, Quest Products, are pleased to announce Quest’s merger with OraHealth Corporation.

With this merger, Quest will add the OraCoat brand of oral-care products including its flagship XyliMelts for Dry Mouth. XyliMelts employs patented technology backed by medical research to safely prevent dry mouth both during the day and while the user sleeps via all-natural, non-acidic oral-adhering discs that slowly release safe ingredients.

“We are proud to add OraCoat and its line of oral-care products to our portfolio of category-leading brands like Clinere, Alocane and ProVent,” Quest CEO Don Ryan said. “We’re excited to partner with OraHealth founder and president Jeff Haley and his team to expand distribution of the blockbuster XyliMelts product domestically and internationally.”

Added OraHealth’s Haley: “Together, we will try to increase consumer awareness of this revolutionary treatment for dry mouth and introduce innovative new oral care products with our patented technology.”

Cascadia Capital advised OraHealth in the transaction, while Carney Badley Spellman provided legal representation. Reinhart Boerner Van Deuren provided legal counsel to Quest.

Avante Mezzanine Partners provided mezzanine debt and participated in the equity investment, while MB Financial provided a senior credit facility. Terms of the investment were not disclosed.
